These Terms of Service ("Terms") govern your access to and use of the websites, at-home sampling kits, sequencing services, reports, and related content and applications (collectively, the "Services") offered by VAMS BioInnovation Private Limited ("VAMS BIOME," "we," "us," or "our"), a company registered at Plot No. 59, A-12-4-1, Near Matha Towers, K P Nagar, Benz Circle, Vijayawada, Andhra Pradesh 520008, India. Please read them carefully.
1. Acceptance of Terms
By accessing our website, purchasing a kit, activating a sample, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind it to these Terms.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use the Services. The Services are intended for personal, non-commercial use by adults. You may not use the Services on behalf of another person, or submit a sample that is not your own, without our prior written authorization. We may refuse, suspend, or cancel access where eligibility cannot be reasonably verified.
3. Description of the Service
VAMS BIOME provides at-home microbiome sampling kits for gut, vaginal, oral, and skin sampling; performs DNA sequencing on the submitted sample; and returns educational, wellness-oriented reports, including our "ATLAS" interpretation layer, that describe sequencing-derived microbial context.
The Services are educational and wellness-oriented only and are not a medical, diagnostic, or laboratory-developed testing service. Reports describe the relative composition of microbes detected in your sample and provide general educational information. They do not diagnose, treat, cure, or prevent any disease or health condition. Sequencing has inherent technical limitations, and results may vary based on sample quality, collection technique, timing, and biological variability.
4. Account Responsibilities
Some features require an account. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us promptly at legal@vamsbiome.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.
5. Orders and Payment
Prices, applicable taxes, and shipping are confirmed at checkout. Payment is processed by a third-party payment processor; by placing an order you authorize that processor to charge your selected payment method, and you agree to its applicable terms. We are not responsible for errors caused by the processor. We may correct pricing errors, decline or cancel orders, and limit quantities. Refund, cancellation, and return eligibility are described at checkout or in our separate policies and may be limited once a kit has been activated or a sample processed.
6. Sample Collection and Activation
You are responsible for registering and activating your kit, following the collection instructions, and returning your sample as directed. Accurate self-collection and timely return are important to processing. We may be unable to process, and may decline to re-run, samples that are insufficient, contaminated, mislabeled, damaged, expired, or received outside required conditions, and a replacement may require an additional purchase. You must not submit a sample from anyone other than yourself without proper authorization and consent.
7. Acceptable Use
You agree not to: use the Services unlawfully or fraudulently; submit samples or information that are not yours or that you lack the right to submit; interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems; scrape, reverse engineer, or copy the Services except as permitted by law; resell or commercially exploit the Services without authorization; or use the Services in a manner that infringes the rights of others.
8. Intellectual Property
The Services, including the ATLAS interpretation layer, reports, software, text, graphics, logos, and design, and all related intellectual property, are owned by or licensed to VAMS BIOME and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and use your own reports for personal, non-commercial purposes. All rights not expressly granted are reserved.
9. User Content
You may submit content such as feedback, survey responses, or messages ("User Content"). You retain ownership of your User Content but grant us a worldwide, royalty-free, sublicensable license to use it to operate, improve, and support the Services, as permitted by applicable law and our Privacy Policy. You represent that you have the rights to submit your User Content and that it does not violate these Terms or the rights of others. Handling of your sample, sequencing data, and personal information is governed by our Privacy Policy.
10. No Medical Advice
The Services, including all kits, sequencing outputs, reports, and the ATLAS interpretation layer, are provided for educational and general wellness purposes only. They are not medical advice and are not a substitute for professional medical care, diagnosis, or treatment. VAMS BIOME is not a healthcare provider, and no physician-patient or clinician-patient relationship is created by your use of the Services. The Services do not diagnose, treat, cure, or prevent any disease or health condition. Always seek the advice of a qualified physician or other health professional with any questions about a medical condition, symptoms, diet, or treatment, and never disregard or delay seeking professional advice because of something you have read in a report or on our website. Do not use the Services for emergencies; if you think you may have a medical emergency, contact your local emergency services immediately.
11. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that results will meet your expectations. Nothing in these Terms excludes or limits any rights or warranties that cannot be excluded or limited under applicable law, including mandatory consumer protection rights.
12. Limitation of Liability
To the fullest extent permitted by law, VAMS BIOME and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Services. Our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to us for the Service giving rise to the claim in the twelve months before the event. Some jurisdictions do not allow certain limitations, and nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
13. Indemnification
You agree to indemnify and hold harmless VAMS BIOME and its officers, employees, and agents from any claims, liabilities, damages, and reasonable expenses (including legal fees) arising out of your misuse of the Services, your violation of these Terms, your User Content, or your submission of a sample you were not authorized to submit, except to the extent caused by our own negligence or as limited by applicable law.
14. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms or where reasonably necessary to protect the Services, other users, or comply with law. You may stop using the Services at any time. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where required by law, provide additional notice. Changes are effective when posted unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of Laws of India, including applicable laws of the State of Andhra Pradesh, without regard to conflict-of-laws principles. Disputes will be resolved in For business-to-business disputes, arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Vijayawada, Andhra Pradesh, and conducted in English. Courts having jurisdiction over the Company’s registered office shall have jurisdiction over court proceedings. Nothing in these terms restricts a consumer’s right to approach a competent Consumer Commission or other statutory authority., subject to any mandatory rights you have under the consumer protection laws of your country of residence. Nothing in this section deprives consumers in the UK, EU, or US of protections that cannot be waived under applicable local law.
